Remuneration of the Executive Board

Taking into account the Act Implementing the Second Shareholders' Rights Directive ("ARUG II") and the new German Corporate Governance Code, the Supervisory Board adopted a new remuneration system for the members of the Executive Board on 18 March 2021 and submitted the remuneration system to the Annual General Meeting on 27 May 2021 for approval under agenda item 6. The Annual General Meeting approved the remuneration system for the members of the Executive Board with a majority of 85.46%.

Remuneration of the Supervisory Board

Pursuant to section 113 (3) of the German Stock Corporation Act (AktG), the Annual General Meeting of adesso SE of 27 May 2021 passed a resolution on the remuneration system for the members of the Supervisory Board for the first time and confirmed the remuneration with a majority of 84.75 %.
