adesso subsidiary takes over FABIS and expands in|sure with modules for sales management and commission settlement

The adesso Group company adesso insurance solutions GmbH is finalising a complete takeover of FABIS Sales Solutions GmbH & Co. KG from Bamberg and in so doing is expanding its own product portfolio to include standard modules for sales management and commission settlement. The purchase agreement was signed in Dortmund. The agreed purchase price for the company, which has been in the commission settlement business for around 30 years, was EUR 1.5 million in cash. The payment will be made from the liquid assets of adesso insurance solutions GmbH. FABIS will be fully merged into adesso insurance solutions GmbH in the near future. The former managing partner of FABIS will now be responsible for continuing product management in the sector at adesso insurance solutions and developing it further within the adesso Group.

adesso AG: Sales and earnings forecasts for 2017 are expected to be exceeded after a good final quarter

Dortmund, 16 February 2018 - Due to adesso's continued revenue and earnings growth in the fourth quarter it is expected to exceed Group sales guidance (EUR 270 to 300 million) and adjusted EBITDA forecast from August 2017 for the full-year 2017 (EUR 20 to 24 million). Thus, it is expected to slightly exceed the previous year's operating income (EBITDA, Earnings before interest, taxes, depreciation and amortisation). The drivers of the positive development after the weaker first half of 2017 are the increase in customer-billable hours per employee and license sales with own products and solutions. The estimation is based on the current, unaudited and unconsolidated individual financial statements of the single accounts.



adesso increases its investment in com2m GmbH, expanding its activities in the internet of things as a future field of business

adesso AG has increased its investment in Dortmund-based com2m GmbH from a shareholding of 24.9 % to roughly 60 %. This investment of under EUR 1 million has taken place against the backdrop of dynamically developing demand for consulting and solutions within the context of the internet of things or “IoT” for short. In this way, adesso and com2m have already been able to gain their first major projects. com2m’s IoT platform plays a significant role in this respect, fulfilling new customer requirements with practical solutions and a results-based approach. For example, the application provides a basis to efficiently digitally connect machines and devices, and has been able to achieve a pleasingly high degree of maturity since the start of com2m’s collaboration with adesso at the beginning of 2016. As an alternative or basis for individual solutions, the platform can be used to set up applications quickly and easily. This makes it a much more affordable way to implement IoT solutions. It significantly reduces the initial hurdles in the way of digitalising services and processes.



adesso AG: Successful third quarter of 2017 with continuation of growth momentum and earnings rise

adesso AG further increased its sales revenues in the third quarter of 2017 compared to the prior quarter and the previous year. Operating earnings, EBITDA, were up on the figures recorded in the first two quarters of the year, as forecast. This was due to a significantly higher share of customer-billable hours as well as further licensing and maintenance proceeds from the in|sure product family.



adesso expands its portfolio of e-health solutions through the takeover of start-up medgineering

adesso AG has acquired 100% of the shares in medgineering GmbH, which is based in Halle (Westphalia). The company has developed a first-aider communication system for dispatch centres that notifies professional or voluntary first aiders in the immediate vicinity of an emergency as soon as an emergency doctor and ambulance are alerted. adesso will drive forward the country-wide expansion of the system to all dispatch centres in Germany on a revised technical basis. The purchase price was less than EUR 1 million. An earn-out agreement was also concluded with the former partner, who will continue to support the company in an advisory capacity. Potential revenue in Germany is less than EUR 10 million. The first positive contribution to earnings is expected in 2019.
